1. Scope of Services
Digi Essentials provides creative and strategic digital marketing services designed to help brands attract, engage, and convert their ideal audience. Our work spans across web design, SEO, copywriting, social media advertising, video campaigns, and other digital marketing solutions tailored to client needs. Every project is approached with a focus on clarity, quality, and measurable impact.
To ensure flexibility and timely delivery, projects may be completed by our internal team. Regardless of who executes the task, Digi Essentials remains fully responsible for project management, communication, and overall client satisfaction.
Each engagement begins with a clear proposal or service agreement that defines the project scope, timeline, and expected deliverables. Clients are encouraged to review and approve this documentation before any work begins, as it forms the foundation for execution and accountability.
While Digi Essentials strives to deliver outstanding results and maintain high creative standards, we cannot guarantee specific outcomes such as website traffic growth, sales increases, or search engine rankings. Digital performance depends on various factors outside our control, including algorithm changes, client-side implementation, and market conditions. Our commitment, however, is to provide well-researched, strategy-led work that aligns with each client's goals and enhances their digital presence.
2. Client Responsibilities
To ensure smooth collaboration and timely project completion, clients are expected to play an active role throughout the creative process. Digi Essentials relies on clients to provide all necessary materials, including brand assets, written content, access credentials, and any other information relevant to the project. These materials should be supplied within the agreed timeframe so that production and delivery schedules can proceed without interruption.
Clients are also responsible for reviewing drafts, mock-ups, and deliverables promptly. Timely feedback helps maintain momentum and allows our team to make adjustments efficiently. All feedback or revision requests must be consolidated and submitted in writing—via email or approved communication channels—to avoid confusion or conflicting instructions.
Any delay in providing required materials, approvals, or responses may result in extended timelines or paused work. Digi Essentials will always communicate progress and updates, but cannot be held responsible for missed deadlines or project setbacks caused by client-side delays, lack of communication, or incomplete submissions.
By maintaining open communication and meeting shared responsibilities, both Digi Essentials and the client can ensure that each project moves forward effectively and delivers the best possible outcome.
3. Payment Terms
All project costs, fees, and timelines are clearly communicated before work begins. Each client receives a detailed proposal or quotation outlining the scope of work, estimated completion date, and total cost. Once approved, the client agrees to the payment terms specified in that proposal or in the accompanying invoice.
Payments are typically required upfront or split into agreed milestones depending on the size and duration of the project. For milestone-based projects, each stage must be fully paid before the next phase begins. This structure ensures commitment from both sides and allows Digi Essentials to allocate resources efficiently.
All quotes provided by Digi Essentials remain valid for 14 days from the date of issue unless stated otherwise. Beyond this period, pricing and timelines may be subject to review to reflect changes in workload, resource availability, or market conditions.
Invoices must be settled promptly according to the terms stated. If payment is not received within 7 calendar days of the due date, a reminder will be issued to the client. Should payment remain outstanding beyond 14 days, Digi Essentials reserves the right to temporarily pause all ongoing work until the account is brought up to date. Digi Essentials reserves the right to withhold final deliverables, files, or access credentials until all outstanding balances are cleared.
By making a payment, the client acknowledges acceptance of the agreed proposal, confirming that they understand and consent to the payment structure and project scope as outlined by Digi Essentials.
4. Revisions & Delivery Timelines
Each service package offered by Digi Essentials includes a specific number of revisions, which will be clearly stated in the project proposal or quotation. These revisions are intended to refine and align the final deliverable with the approved brief, ensuring that the outcome meets the client's expectations.
A "revision" refers to reasonable adjustments or refinements to an existing draft — such as text edits, layout tweaks, or minor visual changes — that stay within the agreed project scope. Any request that introduces new ideas, features, or creative directions beyond the original brief will be considered a new request and may attract additional fees or an extended delivery timeline.
Typical turnaround times for revisions range between one (1) and five (5) business days, depending on the project's size and complexity. These timeframes may vary if multiple revisions are requested or if feedback is delayed. Clients are required to submit all revision requests within three (3) calendar days of receiving the deliverables. Requests made after this period may be treated as a new project and subject to additional charges.
Once a project has been marked as approved and finalized, any additional changes will be treated as a separate task and billed accordingly. Digi Essentials makes every effort to deliver on time, but unforeseen circumstances such as technical issues, third-party platform delays, or resource constraints may occasionally affect delivery. In such cases, clients will be notified promptly, and new timelines will be communicated in good faith.
5. Refund & Cancellation Clause
Due to the creative and digital nature of our services, all payments made to Digi Essentials are generally non-refundable once work has commenced. Each project requires dedicated time, planning, and resource allocation, which begin immediately after confirmation and payment.
Refunds may only be considered if no work has started or in the unlikely event that Digi Essentials is unable to deliver the agreed service. In practice, we maintain consistent communication and delivery standards, ensuring such situations rarely, if ever, occur.
If a client chooses to cancel a project after work has begun, partial charges will apply to cover the value of work already completed and resources committed up to that point.
In approved refund cases, payments will be processed within 7–14 business days, with any transaction or payment gateway fees deducted from the total refund amount. All refund and cancellation requests must be made in writing.
6. Confidentiality & Intellectual Property
Digi Essentials values trust and professional integrity. All information, materials, and strategies shared by the client during the course of a project will be treated as strictly confidential and will not be disclosed to any third party without prior consent, except where required by law.
Likewise, clients agree not to distribute or share any proprietary templates, workflows, or internal communications belonging to Digi Essentials without express written permission.
Ownership of all final deliverables is transferred to the client only after full payment is received. This includes the finished designs, strategies, or content produced specifically for the project. However, this does not include stock images, fonts, licensed software, or code libraries used in the creation process, as those remain the property of their respective owners or licensors.
Digi Essentials retains the right to showcase completed projects in its portfolio, website, and marketing materials to demonstrate expertise, unless the client submits a written confidentiality request prior to final delivery.
This mutual understanding protects both parties' intellectual property and fosters a professional, respectful collaboration.
7. Limitation of Liability
Digi Essentials' total liability for any claim arising from a project or service is strictly limited to the total amount paid by the client for that specific project. Under no circumstances shall Digi Essentials be held responsible for any indirect, incidental, or consequential losses, including (but not limited to) loss of revenue, business interruptions, reputational damage, or loss of data.
While Digi Essentials applies proven strategies and best practices, outcomes such as SEO rankings, ad performance, engagement rates, or conversions can be influenced by many external factors beyond our control. As such, we make no absolute guarantees regarding specific performance metrics.
This limitation of liability ensures that both parties enter into the agreement with clear expectations and balanced responsibilities.
8. Dispute Resolution & Jurisdiction
At Digi Essentials, we believe most issues can be resolved through honest and transparent communication. In the event of a disagreement or dispute, both parties agree to first seek an amicable resolution through direct discussions.
If the matter remains unresolved, the parties may mutually agree to involve an independent mediator or other neutral third party to help find a fair solution.
